Seer End User License Agreement Last updated: May 3, 2026 This End User License Agreement ("Agreement") is a legal agreement between you and the publisher of Seer ("Publisher", "we", "us", or "our") for the Seer desktop application, including any updates, documentation, plugins, components, and related services provided with it (collectively, "Seer" or the "Software"). By installing, copying, downloading, accessing, or using Seer, you agree to be bound by this Agreement. If you do not agree to this Agreement, do not install or use Seer. 1. License Grant Subject to your compliance with this Agreement, the Publisher grants you a limited, non-exclusive, non-transferable, revocable license to install and use Seer on devices that you own or control, solely for personal or internal business use. 2. License Restrictions You may not: a. copy, distribute, sublicense, rent, lease, lend, sell, or otherwise make Seer available to any third party except as expressly permitted by this Agreement; b. reverse engineer, decompile, disassemble, modify, adapt, translate, or create derivative works of Seer, except to the extent such restrictions are prohibited by applicable law; c. remove, alter, or obscure any copyright, trademark, license, or other proprietary notices included with Seer; d. use Seer to violate any law, regulation, third-party right, or contractual obligation; e. bypass, disable, tamper with, or circumvent activation, licensing, update, security, or usage-control mechanisms in Seer; f. use Seer in a manner that could damage, disable, overburden, or impair the Software, related services, or third-party systems. 3. Ownership Seer is licensed, not sold. The Publisher and its licensors retain all right, title, and interest in and to Seer, including all intellectual property rights. No rights are granted to you except for the limited license expressly stated in this Agreement. 4. Updates The Publisher may provide updates, bug fixes, improvements, or new versions of Seer. Updates may be subject to this Agreement or to additional terms provided with the update. The Publisher is not obligated to provide updates or support unless separately agreed in writing. 5. Third-Party Components and Open Source Software Seer may include third-party components, open source software, codecs, libraries, plugins, or other materials. Such components are licensed under their respective license terms. To the extent a third-party license conflicts with this Agreement for the relevant component, the third-party license controls for that component only. 6. Plugins and External Content Seer may support plugins, scripts, external viewers, or user-selected files. You are responsible for the plugins and content you install, open, preview, or execute. The Publisher is not responsible for third-party plugins, third-party services, or user-provided content. 7. Privacy and Data Seer may store settings, license information, activation data, crash or diagnostic information, and other operational data needed to provide the Software. Any data collection or processing is governed by the applicable privacy terms or notices made available by the Publisher. You are responsible for ensuring that your use of Seer complies with any privacy, security, and data-protection requirements that apply to you. 8. Trial, Activation, and Paid Licenses Some features or versions of Seer may require a valid license key, activation, purchase, subscription, or other entitlement. You agree to provide accurate license information and not to share, resell, forge, transfer, or misuse license keys except as expressly permitted by the Publisher. 9. Warranty Disclaimer To the maximum extent permitted by applicable law, Seer is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise. The Publisher disclaims all warranties, including without limitation warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, accuracy, and error-free performance. 10. Limitation of Liability To the maximum extent permitted by applicable law, the Publisher and its licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business interruption, or computer failure, arising out of or related to this Agreement or your use of Seer, even if advised of the possibility of such damages. To the maximum extent permitted by applicable law, the Publisher's total liability for all claims arising out of or related to this Agreement or Seer will not exceed the amount you paid for Seer during the twelve months before the event giving rise to the claim, or USD 10.00 if you obtained Seer free of charge. 11. Termination This Agreement is effective until terminated. Your rights under this Agreement terminate automatically if you breach it. Upon termination, you must stop using Seer and delete all copies in your possession or control. Sections concerning ownership, restrictions, disclaimers, limitations of liability, termination, and governing law survive termination. 12. Export and Sanctions Compliance You may not use, export, re-export, import, or transfer Seer except as authorized by applicable law. You represent that you are not prohibited from receiving or using Seer under applicable sanctions, export-control, or trade restriction laws. 13. Governing Law This Agreement is governed by the laws applicable in the Publisher's place of business, without regard to conflict-of-law rules, unless mandatory local law requires otherwise. 14. Changes to this Agreement The Publisher may update this Agreement from time to time. Continued use of Seer after an updated Agreement becomes available constitutes acceptance of the updated Agreement. 15.
